OVERVIEW OF TERMS AND CONDITIONS FOR USE OF MPA ACCOUNT AND digitalPORT@SG

Agreement to Terms and Conditions

1.   

These terms and conditions ("Terms and Conditions") of this Agreement apply to users who have opened/wish to open an account with the Maritime and Port Authority of Singapore ("MPA Account") and/or users of the digitalPORT@SG services (collectively "User").

MPA reserves the right to amend its Terms and Conditions from time to time as it deems appropriate without giving prior notice. The User is responsible for checking these Terms and Conditions periodically for changes. The User's continued use of the MPA Account and digitalPORT@SG services following the posting of changes will mean acceptance and agreement to the changes.

MPA may also, at its discretion, with or without giving prior notice, at any time modify, enhance, suspend or terminate all or any part of the Services, and/or the operations of the digitalPORT@SG, temporarily whether for the purposes of updating, upgrading, system maintenance or otherwise. MPA shall not be liable if the User is prevented from accessing these Services and websites.

Use of MPA Account and digitalPORT@SG

Users of MPA Services, whether effected via digitalPORT@SG or otherwise, shall be required to open and maintain a duly approved account with MPA. In the event that the User is an organisation or company, the User must furnish a "payable on demand" security in a sum specified by MPA.

The e-Wallet is to be used for payment of value-added services in digitalPORT@SG. Once the e-Wallet reaches a minimum value as specified by MPA or the User, or as and when preferred by the User, the User will be able to top up the e-Wallet based on specific denominations of top-up value, up to the maximum e-Wallet value allowed by MPA. Customers on Giro can choose to top up the e-Wallet using Giro in addition to using e-Payment.

Access to other service providers' networks, as may be made available at digitalPORT@SG, is subject to these Terms and Conditions and the terms and conditions of the other service providers. MPA will not be the agent of either the User or such service providers, and will not be liable under any circumstances whatsoever, in respect of provision of these services.

Financial Terms and Obligations

7.   

In consideration of the grant of the right to use the Services, the User shall pay to MPA promptly all fees and charges as may be imposed by MPA from time to time, including those for use of facilities provided by other service providers and made available to the User.

As far as possible, payment should be made by Inter-Bank Giro ("IBG") or other electronic means, or via e-Payment at digitalPORT@SG or the MPA website.

9.   

For Giro customers, the User shall pay all bills rendered by the MPA in accordance with the terms of Giro (within 30 days from the date of the bills, as a norm). For non-Giro customers, the User shall pay all bills rendered by the MPA promptly within 30 days from the date of the bills. For late payments, the User shall pay an interest charge at 1% per month or such other rate as notified to the User from time to time. If collection of payment is unsuccessful, the User will be notified of the matter and requested to make good the payment promptly, failing which MPA shall be at liberty to suspend the services provided to the User. If payment is not received within 30 days of the date of the aforesaid notice, MPA shall be at liberty to terminate this agreement.

MPA has the right to suspend or close the operation of the account and demand immediate settlement either from the User or the bank or financial/insurance company providing the on-demand security.

Other Terms and Obligations

11.   

In the event that the User is an organisation or company, the User is required to appoint at least one and no more than two (2) Information Security Co-ordinators (ISCs) in its company who must be of executive level and above, to:

11.1.   

handle the digitalPORT@SG security administration functions within the company; and

11.2.   

ensure proper control over the use of digitalPORT@SG Logon Identifications (IDs), passwords and access privileges to digitalPORT@SG Services.

12.   

The User is responsible for password confidentiality and ensure that those who have been assigned Logon IDs do not share their security password with any other one else. MPA may suspend the User's Logon IDs access immediately if:

12.1.   

Incorrect security passwords are used to attempt to access the User's account;

12.2.   

MPA suspects an unauthorised person is attempting to access the User's account;

12.3.   

Any service agreement between the User and MPA or its related Companies for services or facilities is suspended;

12.4.    

MPA has reason to believe that continued use or access by the User will jeopardise or compromise digitalPORT@SG Services; or

12.5.    

If the User fails to fulfil any obligations under this Agreement.

13.   

In the event that the User is an organisation or company, the User appointed ISCs are deemed to act on behalf of the User. The User shall ensure that Logon IDs of ISCs who have left the company or who no longer hold ISC rights are removed from digitalPORT@SG promptly. MPA will not be responsible for any act or omission by the ISCs.

14.   

Where appropriate, MPA employs available technology to protect the security of communications made through the digitalPORT@SG. However, MPA does not accept liability for the security, authenticity, integrity or confidentiality of any transactions and other communications made through the websites.

15.   

Internet communications may be susceptible to interference or interception by third parties. Despite MPA's best efforts, MPA makes no warranties that the digitalPORT@SG is free of infection by computer viruses or other unauthorised software.

16.   

The User should take appropriate steps to keep its information, software and equipment secure, including installing a personal firewall and latest anti-virus software on its computer(s), and clearing its Internet browser cookies, cache and history after using any services on the Website(s).

Disclaimer of Warranties and Limitation of Liability

17.   

MPA shall use its best efforts to protect the User's information from unauthorised access by any other party and the User shall release MPA from liability and shall indemnify MPA against any claim whatsoever arising from any failure of MPA in this respect howsoever arising.

18.   

MPA makes no representation or warranty that the Services, software or information or materials provided will be uninterrupted, timely, accurate, reliable, secure or error free and expressly disclaims all liability whatsoever. The User shall not hold MPA liable under any circumstances whatsoever for any claim, action, demand, damage or loss as a result of the User using the Services. The User shall indemnify MPA at all times from any claim, action, demand, damages, loss, expense or cost which MPA may suffer or incur as a result of the use of the Services by the User.

19.   

All other warranties expressed or implied are also excluded.

20.   

The exemptions, limitations of liability and indemnity contained here and elsewhere in this Agreement are mutually exclusive and are severable. The unenforceability of any of them shall not affect the enforceability of the others.

Applicable Law

21.   

The law governing these Terms and Conditions shall be the laws of Singapore and any dispute arising from the use of the Services or in relation to these Terms and Conditions shall be submitted to the exclusive jurisdiction of the courts in Singapore.

Exclusion of Third Party Rights

22.   

No person other than the User and MPA shall have any right under the Contracts (Rights of Third Parties) Act to enforce any of the terms of these Terms and Conditions
